This Referral Partner Agreement (the “Agreement”) is entered into between Northern Arizona Referral Network (the “Network”) and the business enrolling through this website (the “Partner”). By checking the agreement box on the sign-up form, the Partner accepts these terms.
The Network will feature the Partner in its online directory and marketing and will direct interested customers to the Partner using tracking links, promo codes, and/or lead forms. The Partner remains solely responsible for accepting, fulfilling, and servicing all bookings.
The Partner will pay the Network the referral fee specified during sign-up on each qualifying booking. A qualifying booking is one that is completed and paid by the customer. Cancellations, refunds, no-shows, and chargebacks are excluded. Fees are calculated on the pre-tax, pre-gratuity amount unless otherwise agreed in writing.
A booking is attributed to the Network if any of the following apply: (a) the customer used the Partner’s Network promo code; (b) the customer reached the Partner through a Network tracking link; (c) the customer submitted a Network lead or inquiry form; or (d) the customer identifies the Network as the referral source. The Partner agrees to honor and record the promo code and to train staff accordingly.
Within ten (10) days after the end of each calendar month, the Partner will report all qualifying bookings for that month. The Network’s click and lead logs will serve as a cross-check. Earned referral fees are due within fifteen (15) days of month-end via the agreed payment method. The Network may request reasonable documentation to verify reported bookings.
This Agreement is month-to-month. Either party may terminate it at any time with written notice (email is sufficient). Referral fees earned before termination remain payable.
The parties are independent contractors. Nothing here creates a partnership, joint venture, employment, or agency relationship. Neither party may bind the other.
The Partner represents that it holds all licenses and permits required to operate its business, and that the person enrolling is authorized to bind the Partner.
The Network provides referrals only and makes no warranty regarding booking volume. The Network is not liable for the Partner’s goods or services, and the Partner will not hold the Network responsible for disputes between the Partner and its customers. To the maximum extent permitted by law, the Network’s aggregate liability under this Agreement will not exceed the referral fees paid by the Partner in the prior three months.
This Agreement is governed by the laws of the State of Arizona. Any dispute will be resolved in the state or federal courts located in Yavapai County, Arizona.
